1.Services
Provider operates an online software-as-a-service platform (“Platform”) that uses interactive maps, geographic information, digital content, and related tools to promote real estate properties, developments, businesses, and related services.
Provider grants Customer a limited, non-exclusive, non-transferable right to access and use the Platform for its intended marketing purposes, subject to this Agreement.
DeliverablesDraft — pending Ralf’s approval
Subject to this Agreement and the Customer’s account type, the Services include the following deliverables:
- Mapsite presence: a presence on a proprietary Talispros Mapsite for the Customer’s account, on which the Customer can place PINs (Place of Interest Nodes).
- PIN flags: when selected, a PIN opens a flag revealing URL, RES, TEB and TTV links. URL can be a document repository or an outside location where anything can be linked. RES, if entered, leads to that listing on real estate sites, MLS®, a brokerage site or any other traditional site.
- TEB (Talis eBook): Provider’s proprietary means to generate flip-books from PDF quickly and easily.
- Auto-syndication: PINs from Talispros Mapsites are auto-syndicated to the publications listed in the Media Directory, in cycles of 10 days on and 3 days off to keep listings fresh. The Media Directory lists outlets in which Provider either already has automatic exposure or is in negotiations, and may change over time.
- TTV (Talis TV) — optional extra at additional cost: Provider’s in-house online TV station, which requires set-up at additional cost. If selected, Provider acts as the Customer’s production department, generating content from source material the Customer provides (such as photography, audio and video) for formats such as virtual open houses, virtual walk-throughs, infomercials and green screen talk shows.
- Account types: Root Account, Derivative Account (subordinate agent listings under a Root Account), FSBO Account and Adpro Account. The deliverables available depend on the Customer’s account type.
These deliverables are marketing tools only. Nothing in this section guarantees any visibility, placement, reach, traffic, leads or transactions; sections 3 to 5 apply.
2.Customer Responsibilities
Customer is solely responsible for all information, listings, photographs, videos, descriptions, links, logos, trademarks, advertisements, and other materials submitted to, uploaded to, or displayed through the Platform (“Customer Content”).
Customer represents and warrants that:
- Customer has all necessary rights, permissions, and authorizations to publish its Customer Content.
- All submitted information is accurate and not misleading to the best of Customer’s knowledge.
- Customer Content complies with applicable laws, regulations, advertising standards, real estate licensing requirements, and third-party intellectual property rights.

- Any inaccurate, incomplete, outdated, misleading, unauthorized, defamatory, infringing, unlawful, or otherwise objectionable content supplied by Customer or any third party.
- Any reliance on information, representations, photographs, maps, descriptions, pricing, availability, or other material displayed through the Platform.

Aggregate Liability Cap. To the maximum extent permitted by applicable law, Provider’s total aggregate liability arising out of or relating to this Agreement or the Services shall not exceed the fees paid or payable by Customer to Provider for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.
The exclusions and limitations in this section apply regardless of the legal basis of the claim, subject to any liability that cannot lawfully be excluded or limited.
